Welcome to Jubilens (the "App"). These Terms of Use (the "Terms") govern your access to and use of the App. By accessing or using the App, you agree to be bound by these Terms. Please read them carefully.
1. Acceptance of Terms
By accessing or using the App, you agree to these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the App.
2. Use of the App
License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the App for its intended purpose, which is to provide a digital guestbook for events, such as weddings.
Eligibility: You must be at least 18 years old to use the App or have the consent of a parent or legal guardian. By using the App, you represent and warrant that you meet these eligibility requirements.
Account Creation (if applicable): If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to update it as necessary.
Prohibited Conduct: You agree not to:
Use the App for any illegal or unauthorized purpose.
Violate any applicable laws or regulations.
Infringe upon the intellectual property rights of others or us.
Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
Interfere with or disrupt the operation of the App or the servers or networks used to make the App available.
Attempt to gain unauthorized access to any portion of the App or any other accounts, computer systems, or networks connected to the App.
Use any data mining, robots, scraping, or similar data gathering or extraction methods.
Transmit any viruses, worms, malware, or other harmful code.
Reverse engineer, decompile, or disassemble any part of the App.
3. User Content
Your Content: You are solely responsible for any content you upload, post, or otherwise transmit through the App, including guestbook entries, comments, photos, and other materials (collectively, "Your Content").
License to Your Content: By submitting Your Content to the App, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display Your Content in connection with the App and our business, including for promotional purposes.
Representations and Warranties: You represent and warrant that you have all necessary rights to Your Content and that Your Content does not violate these Terms, any applicable laws, or the rights of any third party.
Content Removal: We reserve the right, but have no obligation, to review, monitor, edit, refuse to post, or remove any of Your Content at any time and for any reason, without notice to you.
4. Intellectual Property
Our Content: The App and its original content, features, and functionality (including but not limited to text, graphics, logos, images, software, and code) are owned by Jubilens or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Limited License: These Terms grant you a limited license to access and use the App for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our content without our prior written consent.
Trademarks: Jubilens and any related logos are trademarks of BlazeMVPs, Singapore. You may not use these trademarks without our prior written permission.
5. Third-Party Links and Content
The App may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we are not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any third-party websites or services.
6. Disclaimer of Warranties
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUBBLEEAPPS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, FOR ACCESSING OR USING THE APP IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
8. Indemnification
You agree to indemnify, defend, and hold harmless BlazeMVPs and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the App; (b) your violation of these Terms; (c) Your Content; or (d) your violation of any third-party rights, including without limitation any intellectual property or privacy rights.
9. Termination
We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the App will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the App shall be exclusively resolved in the state or federal courts located in Singapore. You consent to the personal jurisdiction of such courts.
11. Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and BlazeMVPs regarding your use of the App and supersede all prior and contemporaneous communications and proposals, whether oral or written, between you and us.
12. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
13. Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
14. Changes to These Terms
We reserve the right to modify or revise these Terms at any time by posting the updated Terms on the App. Your continued use of the App after the effective date of any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically for any updates or changes.
